Carnegie acted as exclusive financial adviser to the Lundbeck Foundation in connection with the introduction of A- and B-share class structure in H. Lundbeck A/S (“Lundbeck”) and subsequent A- for B-share exchange offer to eligible shareholders by the Lundbeck Foundation. The new capital structure has been introduced as an initiative to enhance the company’s long term financial capacity while maintaining the long-term stability provided by the Lundbeck Foundation’s majority ownership. The Lundbeck Foundation is a commercial foundation whose purpose is to strengthen brain health in Denmark and to develop the Danish business sector. Lundbeck is a global pharmaceutical company that for more than 70 years has been at the forefront of neuroscience research.
